On September 28, 2021, the Board of Directors of Limoneira Company (the “Company”) approved a share repurchase program authorizing the Company to repurchase, through September 2022, up to $10,000,000 of its outstanding shares of common stock in one or more open market transactions, transactions structured through investment banking institutions, in privately-negotiated transactions, by direct purchases of common stock or a combination of the foregoing. The share repurchase program may be modified, suspended or discontinued at any time and does not commit the Company to repurchase shares of its common stock. The actual number and value of the shares to be purchased will depend on the performance of the Company’s stock price and other market conditions.

 

On September 29, 2021, the Company issued a press release announcing the share repurchase program. The foregoing description of the press release is qualified in its entirety by reference to the complete text of the press release furnished as Exhibit 99.1 hereto, which is hereby incorporated by reference herein.

Limoneira Announces $10 Million Share Repurchase Program

 

SANTA PAULA, Calif.--(BUSINESS WIRE) – Sep. 29, 2021 -- Limoneira Company (the “Company” or “Limoneira”) (Nasdaq: LMNR), a diversified citrus growing, packing, selling and marketing company with related agribusiness activities and real estate development investments, today announced that the Company’s Board of Directors authorized the repurchase of up to $10.0 million of the Company’s issued and outstanding common stock. 

 

Harold Edwards, President and Chief Executive Officer of the Company, stated, “The Board’s decision to authorize this share repurchase program is a clear indication that they, along with our management team, believe Limoneira is positioned for continued long-term growth through both our strategic assets and our consistent global supply of fresh fruit. Our Company remains committed to the disciplined, opportunistic deployment of capital in order to maximize value for our shareholders.”

 

Under the approved authorization, the Company may purchase common stock through September, 2022 utilizing one or more open market transactions, transactions structured through investment banking institutions, in privately-negotiated transactions or otherwise, by direct purchases of common stock or a combination of the foregoing in compliance with the applicable rules and regulations of the Securities and Exchange Commission.

 

The timing of the purchases and the amount of shares repurchased is subject to the Company’s discretion and will depend on market and business conditions, applicable legal and credit requirements and other corporate considerations including the Company’s historical strategy of pursuing accretive acquisitions and deleveraging.
